Terms of Service

Make the Call · Effective date: August 1, 2026 · Last updated: August 1, 2026

These Terms of Service ("Terms") are an agreement between you and Kadazo LLC, a California limited liability company doing business as Make the Call ("Make the Call," "we," "us") governing your use of the Make the Call mobile application and website at makethecall.com (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy at makethecall.com/privacy.

1. The Service

Make the Call is a training and community platform for sports officials and their associations: rules study materials, practice questions, quizzes and exams, video scenarios, daily challenges, and association tools such as forums, announcements, and member management. Features available to you depend on your association's configuration and your role within it.

Make the Call, the Make the Call logo, and the Make the Call brand are owned by Kadazo LLC. Nothing in these Terms grants you any right to use them.

2. Accounts and Eligibility

You must be at least 18 years old to use the Service. By creating an account you represent that you are 18 or older. The Service is intended for sports officials and association personnel, and we do not knowingly permit accounts for anyone under 18. If we learn that an account belongs to someone under 18, we will close it.

You must provide accurate information when creating an account and keep your credentials secure; you are responsible for activity under your account.

3. Associations, Administrators, and Roles

Associations on the Service are managed by their own administrators, who control membership approval, suspension, roles, and association content. Make the Call provides the platform; your association governs your membership in it, and decisions such as approval, suspension, certification, or assignment policies belong to your association, not to us. Administrators agree to use their tools responsibly, including reviewing content before publication and respecting members' information.

4. Association Content and Copyright

Associations supply their own training material. Rule books, case books, mechanics manuals, signal references, and similar materials are uploaded by each association for use by its own members. By uploading, an association represents that it holds the rights or licences necessary to use that material with its members, and that doing so does not infringe any third party's copyright.

Make the Call does not distribute governing-body publications and does not grant any association the right to use them. Where the Service generates practice questions or study aids from an association's uploaded material, the resulting questions are original works that may cite rule numbers and references; rule numbers and citations are facts and are not themselves copyrightable.

We will remove material in response to a valid infringement notice, and may suspend accounts that repeatedly infringe.

5. Training Content — Important Disclaimer

The Service is a study aid, not an official rules authority. Training materials, summaries, practice questions, and explanations — including content drafted with AI assistance and reviewed by association administrators — are provided for educational purposes only. The official rulebooks, casebooks, and manuals published by the applicable governing bodies remain the sole authoritative sources, and officials are responsible for maintaining their own current official materials and complying with their governing bodies' requirements. We do not warrant that any training content is error-free, current, or sufficient for certification or game-day decisions.

No affiliation. Make the Call is not affiliated with, endorsed by, or sponsored by the National Federation of State High School Associations (NFHS), the NCAA, CIF, Little League, or any other governing body, league, or association whose rules its users study. All trademarks belong to their respective owners.

6. Your Content

You retain ownership of content you submit to the Service (such as forum posts, replies, media, and, for administrators, uploaded training materials). You grant us a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute that content as needed to operate and improve the Service — including displaying it to the members of the association space where you posted it. You represent that you have the rights to the content you submit. We may remove content that violates these Terms or the law.

7. Acceptable Use

You agree not to: harass, threaten, or abuse others; post unlawful, infringing, or knowingly false content; attempt to access another association's private content or another user's account; probe, disable, or circumvent security or access controls; scrape or bulk-extract content; misrepresent your identity or role; use the Service to violate any law or governing-body rule; or interfere with the Service's operation. Association forums are professional spaces for officiating communities; administrators and Make the Call may moderate, restrict, or remove access for violations.

8. Fees and Billing

Associations, leagues, and schools pay for their members' access. Individual members are never charged through the Service. There is no purchase, subscription, or payment of any kind available inside the mobile application.

Where an association pays for access, it is invoiced directly by Kadazo LLC under the terms of a separate written agreement or an accepted quotation, and may pay by the methods stated on that invoice. Except where required by law or expressly stated otherwise, fees are non-refundable. We may change pricing prospectively with reasonable notice; changes will not affect a paid term already in progress. If a separate written agreement between Kadazo LLC and an association conflicts with these Terms, that agreement controls for that association's use.

If an association's access lapses, its members may lose access to that association's content. Your personal account and any progress recorded against it are not deleted for that reason alone.

9. Termination

You may stop using the Service and may delete your account at any time from Profile → Delete Account, or by contacting us (see the Privacy Policy). We may suspend or terminate access for violation of these Terms, for legal or security reasons, or upon discontinuation of the Service, with notice where practicable. Your association may suspend or remove your membership in its space independently. Sections 4, 5, 6 (license, for content already shared), 10, 11, and 12 survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT (INCLUDING TRAINING CONTENT) IS ACCURATE OR CURRENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KADAZO LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Kadazo LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms or of others' rights. If you are an association administrator, this includes claims arising from material your association uploads to the Service.

13. Changes to the Service and Terms

We may modify the Service and these Terms. Updated Terms will be posted at makethecall.com/terms with a new "Last updated" date; material changes will be communicated through the Service. Continued use after changes take effect constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Riverside County, California, and the parties consent to their jurisdiction.
